Abstract: | This study investigates the correlation btw. two control mechanisms, that is, voluntary disclosure (hereafter as: vol-dis. - for 'disclosure' as: dis.) and independent directors (as: ind-dirs.), in companies characterized by the presence of a dominant shareholder (here as: dom-s-h.) supposed to mitigate the classical agency problem. It is hypothesized that the 2 mechanisms tend to co-exist. An empirical analysis is carried out dealing with 175 non-financial Italian listed companies, all controlled by a dom-s-h. Three alternative dis. indexes are used to measure vol-dis. Ind-dirs. are identified both according to a formal/legal definition and also through stricter criteria. The hypothesis is supported by results etc. |
