Abstract:The central question of the dematerialisation of securities is their legal nature in reference to the fact that, according to the Law on Obligations, securities declare as a written obligation.In this respect, there is not only a question of the creation of obligation but also the question of implementation and transfer of rights deriving from dematerialised securities.A transfer is not marely a technical issue of adapting to the new bearer but also a legal question of obligation, which has as a consequence an altered system of the classification of shares and a possibility of their allocation into different categories.It also offers a possibility of the issue of the so called non-registered shares.It is therefore necessary to draw attention to important implications in the legal field of corporation where legal provisions should be changed and some new should be enforced in order to exercise all rights deriving from shares.
