Abstract: | An investigation of the impact of two Delaware court decisions giving Delaware corporations management takeover defences to defeat hostile takeovers, related to the "Household" decision. How the potential takeover candidates experienced a price decline, while a portfolio of firms adopting similar defences had no price reaction after the court decisions. Poison pill-type takeover defences: two-tier tender offers, managerial entrenchment and shareholder interest hypotheses. Testable implications of competing theories. Empirical evidence. |
