Abstract:In the 1990s, politics will replace takeovers as the defining tool for corporate governance challenges, and a marketplace of ideas will replace the frenzied activity that dominated the financial marketplace in the 1980s. The author describes the long and heated battle for control of USX between 1986 and 1991 as an excellent example of the changes taking place in the market for corporate control. What started as a hostile takeover attempt ended with a negotiated solution in which many constituencies played a role in the restructuring of the corporation . The article addresses the strengths of a political approach and gives examples of new political mechanisms.
