| Abstract: | In the paper the author discusses the right to a lawsuit as a means of protection of property and cooperative rights of a shareholder and as a special right of shareholder to protection.She has displayed the regulation of individual kinds of lawsuits (the suits for enforcement of membership rights, defensive suits and indemnity lawsuits) under the law of Companies and pointed out a possibly different regulation in the comparative law of companies.She has also pointed out some shortcomings and/or hazy points in the law of companies and enumerated possible solutions of the comparative law.The meaning of the right of share-holder to lawsuit is not only in the protection of individual shareholders, but in the guaranteeing of correct management of joint stock companies. |
