Abstract:A notary, invited to a meeting of the assembly of a joint stock company, must first get to know in detail its general acts with all the provisions relating to the summoning and the work of the assembly, i.e. its valid articles of association and standing orders of the assembly, if it has one, and also find out who are the bearers of functions in the joint stock company.Besides this it is very important to verify valid registration in the trade register and find out who the shareholders are, which can be done in the shareholders' ledger.The author points out, to what the notary must pay special attention when preparing the form and announcement of summoning the assembly and when adopting the so called opposing proposals given by shareholders after the announcement of the summoning.The role of notary is very important at the assembly, where he must find out attendance and/or quorum, follow the procedure and the way of voting and finally the law obliges the notary to confirm every decision adopted by the assembly.The notary also keeps the minutes.
