| Abstract: | Pursuant to Section 12 of the Swedish Companies Act of 1975, companies must comply with certain substantive and procedural provisions when distributing dividends. Distributions that violate these requirements may be recovered from the recepients or, in some cases, the directors, the managing director and possibly others. In this paper, the author reviews the statutory provisions regulating distributions of company assets. First, the provisions designed to protect shareholders as well as those designed to protect creditors are addressed. |
