| Abstract: | This paper makes a positive analysis of one hundred Chinese share holding companies with regard to structure of stock rights, composition of corporate stock holders, board of directors, board of supervisors, composition of manager groups and comparison between the company whose chairman of the board of directors is concurrently the general manager and the company whose chairman is not concurrently the general manager. The following conclusion is drawn from the analysis: The structure of stock rights is possibly one of the important factors influencing the governing structure of companies. Therefore, when transforming the present enterprises, we should introduce properly a few corporate share holders holding the larger share for it is conducive to the formation of a good supervising and balancing mechanism in governing structure. |
