| Abstract: | The proposed regulations are simple and favorable to taxpayers and provide much-needed guidance. Following the Tax Reform Act of 1986, many corporations found it beneficial to be taxed as S corporations. But if a corporation elected S status after December 31, 1986 , it may be subject to the built-in gain tax. |
