| Abstract: | If the interests of capital investors are to be looked after in an optimal manner, the management must concentrate more on the discovery of value-enhancement potentials and value gaps. In addition to the operative improvements and "financial engineering", acquisitions are especially in the foreground. Some examples of value-enhancement analysis are presented. Numerical data of a company audit are provided to show how the discounted cash flows can be used. Strategic and financial analyses are also necessary to make correct decisions. The problems of the management of the acquisition process are discussed. |
