Abstract:The author analyses neoclassical and institutional approaches to the modern business firm. Changing the managerial agenda from management governance to entrepreneurial governance is the framework for changing the inside controlling system of the firm and the market for corporate control.The author also realizes that it is difficult to distinguish between different normal ownership structures, controlling systems and responsibilities of the firms in neoclassical theory.Slovenian privatization is not very typical and the experiences are not very relevant for other countries of Eastern and Central Europe.Crucial determinants of the success of privatization will be the changed relationship between managers and other parties involved (owners, creditors, workers, customers) in firms. Their effectiveness can be much enhanced by explicit equilibrium between capital and labour (managerial) market. We can expect efficient corporate constitutions to emerge through labour market competition.
