Abstract:In "traditional" contract theory, the clauses used in franchise contracts are analysed with regard to their applicability to solve the problem of opportunism. Not compatible with these explanations are the following, empirical observations which hint at the fact that the scope of behavior has not been taken advantage of: granting economic rents to franchisees, usage of fees based an turnover, temporal invariability of franchise clauses and usage of company owned outlets and franchises together in one single system. To explain these discrepancies between the cooperative reality of a good franchise system and the design of franchise contractors, a 'cooperative' interpretation of franchising as an organizational system is given (original in German).
