Abstract:This paper considers governance of early British joint-stock coastal shipping companies. The article focuses on two interest groups: shareholders and directors and their role in decision making in historical context. The early nineteenth century was transition period in shipping because then the industry moved from sail to steam technology. The examination shows that there were some crises of corporate governance. The directors of shipping companies were usually able to make decisions about resource-allocation. However they also have to accommodate to the governance relations.
