Abstract:At the assertion of ownership control owners of an enterprise (or persons having the right of disposal with other organisations) entrust managers with considerable power.The governance of managerial activity becomes therefore a matter of primary importance.The core of this activity are managerial decisions: they are, by concept, either routine or analytical or intuitive.All these decisions shall be acceptable functionally as well as ethically.The instruments of governance are norms, inspection and selection of managers.Shares of decision concepts and governance instruments by levels of management are dealt with in the report.Particular attention is being paid to ethical aspects of decision making; the almost only way to control ethics of top management decisions is through selection of managers.In conclusion, the report contains several proposals for a better governance of manageril activities.
