Abstract:Based on state-of-the-art research on boards (henceforth as: brd./brds.) and governance, this study asserts that a comprehensive brd. evaluation (here as: eval./evals.) system needs to include decisions about: a. the agent for brd. eval., b. the content, or what the eval. should deal with, c. the addressee and other stakeholders for whom the brd. is evaluated, and d. how the eval. of the brd. is performed. These key decisions should not be seen as independent of each other. Four different brd. eval. systems are presented: i. board-to-board, ii. board-to-market, iii. market-to-board and iv. market-to-market. The key message of the article is that there must be a fit btw. the purpose and the system of brd. evals. There is no universal or "one best way" for eval. of brds. of directors.
