Abstract:This paper examines selected corporate disclosures in the context of shareholder litigation brought under Rule 10b-5 of the federal securities laws. In a typical 10b-5 case plaintiffs allege they bought stock at inflated prices because managers misled the market by disseminating overly optimistic information or by failing to disclose material adverse information. The true information is revealed in a subsequent disclosure. The authors describe litigation-based disclosure incentives and provide descriptive evidence about firms' disclosures with respect to both the statements which precipitated lawsuits and the disclosures alleged to have misled the market.
