Abstract:This article analyses the profile of boards of directors of Brazilian publicly-held companies, dividing the directors into four distinct categories. The purpose is to assess the directors' independence in relation to their contorlling shareholders. The findings suggest that the controlling shareholders' representatives largely dominate the boards, and that minority shareholders do not use the available mechanisms to elect directors.
