Abstract:This paper explores the roles and performance of non- executive directors. This is a timely subject, given the current economic downturn and significant array of corporate collapses world-wide across the last year, so the first section of the paper briefly sets the scene against which these issues are being considered. The next section goes on to develop these ideas further, drawing on academic literature and study of boards, reviewing the role of the board in general and of NEDs in particular. Nonexecutive directors are expected to fulfill a legal responsibility for formulating and implementing a company's strategy as well as a series of important governance functions, although the extent to which these two somewhat conflicting functions can be successfully combined into one role is debatable.
