| Abstract: | This article reflects on an aspect of recently proposed changes, which were ignored, to the legal duties and liabilities of non-executive directors. The authors argue that these changes could have been an opportunity to enhance corporate governance in UK. This article considers improving the governance role of non-executive directors by introducing “gatekeeper liability”. |
