Abstract: | It is shown how internal and external corporate control mechanisms can be employed to help to align the diverse interests of managers and shareholders. After reviewing the related work in organization theory and financial economics, the strengths and shortcomings of both types of control mechanisms are articulated. A variety of management practices are identified which can be used to compromise these mechanisms. A theoretical framework is developed to explicate interrelationships between them, and a number of research opportunities are explored. |
