Abstract:Numerous episodes of corporate misconduct have intensified debates over the ethics and social accountability of large business enterprises. Many of them have responded to incidents of proven or suspected wrongdoing by retaining lawyers to conduct "special counsel" investigations, which often produce reports and findings that are made public or are provided to law enforcement and regulatory agencies. The potential risks and benefits of this kind of behavior to the corporation and its managers. The role of such inquiries as a means of corporate self-policing. In appropriate circumstances they can serve both corporate self-interest and the interest of society /provided that illegal or unethical behavior will not be tolerated/.
