Abstract:This article explains the logic guiding the implementation of corporate governance and studies the effect of the logic on investor protection using the example of Italy and its major governance reforms of 1998 that aimed to protect minority shareholders from the risk of expropriation. The two-stage mixed-methods longitudinal study that lasted from 1995 to 2005 suggests that the reforms had a very modest effect on improving government practices. This article builds upon existing reform effectiveness theories by describing their effects on business practice. It also offers implications for practitioners and policy makers.
