Abstract:Corporate governance regulations increasingly require a model in which top management is supervised by an independent, vigilant and skilled board of directors. However, there are ambiguous results produced through academic research regarding to the direct effects of such board (hereafter as: b.) characteristics on firm performance. Hence, the study analyzes the relationships btw. b. attributes, b. working processes and b. role performance through intermediate relationships. Analyzing data from a survey at the b. level in The Netherlands, several hypotheses are derived and tested. The results partly confirm the relevance of the model of b. processes related to b. role performance, as suggested by D.P. Forbes and F.J. Milliken in 1999. This study especially exemplifies the relevance of different b. processes for explaining b. role performance.
