| Abstract: | Some aspects of insider trading are discussed in the article.In the introduction the notions of inside trading are delineated, the transactions with securities, insider informations, the participants of trading.They are classified into primary and secondary insiders, regarding their professional membership or their activity and also into groups of issuers of securities, persons connected by contracts with the issuers, institutional investors from the circles close to banks, state official and others.The legal nature of the trading with inside information is ambivalent and vague, as this field is related to criminal law, company law, the law of securities, fiscal law, to mention only the most obvious correlations.In the second part some defense mechanisms against insider trading are dealt with, primarily the so called "Chinese walls"' various lists as potential sources of insider information.The article is concluded by the part on Slovenian law in this field and some legal gaps in it. |
