Abstract:In the Slovenian practice takeovers with a public invitation for tenders has not been known, but the possibility of taking over companies will increase upon the conclusion of procedures under the law of property transformation of companies, when the number of joint stock companies will considerably increase and when also the securities exchange will develop.Slovenian companies are already preparing for the possibility of takeover, fairly often by the so called shareholders' agreements, which define limited transferability or non-transferability of the shares.Such protection from takeover is in contradiction with the concept of free transferability of shares, whose purpose is enable the second phase of property transformation, i.e. concentration of ownership of companies.This is particularly true of the companies, which decided on public sale of shares which could be dealt in on a public and organized market, as e.g. the stock exchange
