Abstract:Mergers and acquisitions are a way of life in many industries. They offer many advantages and benefits, but they are no panacea. Many mergers lead to disappointment and disillusionment. The authors suggest that, just as in a marriage, basic incompatibilities between core values and practices toward risk taking can lead to the breakdown of the relationship. There are ways of identifying whether potential merger partners are likely to have conflicting RPPs. Similar to traditional financial due-diligence investigations, an examination of a partner's risk propensity profile can be carried out before the transaction is finalized. The authors provide a tool for making that assessment, and also provide a real- life description of what can happen when the RPPs are incompatible.
