Abstract:When companies combine, managements tend to focus on stockholders and ignore human resource issues. This is a costly mistake, because anxious, confused, or angry employees can severally cripple the merged company. A comparison of two mergers illustrates the advantages of fair-minded, honest behaviour toward employees. Although there are obvious difficulties in generalizing from case studies, managers can favourably influence the integration process and its results by taking a carefully assessed ethical posture with respect to the five key concerns presented that capture much of the human tension underlying mergers and acquisitions.
