Abstract:The general role of the publicly held corporation in the USA economy is discussed. The fundamental thesis: it has outlived its usefulness in many sectors of the economy and is being replaced. The main disadvantages of public corporations are highlighted. New organizational forms are described as emerging in its place. Take-overs, leveraged buyouts, and other going-private transactions are mentioned as the most visible manifestations of this organizational change. The central source of waste in the public corporation is found to be the conflict between owners and managers over free cash flow. Factors influencing the prominent role of debt in the new organizations are discussed.
