Abstract:In the course of reform of state-owned enterprises, it is unavoidable that interest groups seeking personal or collective interests emerge. The interest groups are mainly composed of the government's administrators, bank staff, managers and workers of enterprises as well as the central government. These groups have exerted harmful influence on the reform of state enterprises to varying degrees. But we can not simply make restriction or crack down. Instead, we should strengthen the construction of legal system and democracy to transform the "rent-seeking" mode into "open game" one. Meanwhile we should encourage the emergence of newly rising interest groups for they can bring about "overflow effect" which helps disintegrate the bureaucrat interest group hindering market guidance and lay foundation for establishing a market under an open competition.
