Abstract: | This paper aims to shed light on the question why companies producing goods by means of complementary components do not merge. The focus is particularly on industries in which investments in component-based knowledge is relevant. The analysis starts from the situtation where "individuals", whose effort is non-contractible, develop the activities doing their best to appropriate the return from their knowledge. The organization of the industry into companies is specified to a partition of the set of individuals. Using this as a context, authors demonstrate that an organization of industry consisting of individuals holding their own firms is stable in regard to unilateral deviation and optimal considering the property rights approach. |
