Abstract:This article pursues to introduce a contractarian foundation to the concept of corporate social responsibility (CSR), meant as an extended model of corporate governance (here as cor.gov.) of the firm. While a previous article by the same author focused on justificatory issues, this essay considers implementation of and compliance with this model. The author introduces the theory of reputation games in order to make sense of self-regulation as a way to put into the practice the social contract on the multi-fiduciary model of cor.gov. This helps to reach an understanding of why self-regulation fails. Two main problems for the functioning of the reputation mechanism are considered: the cognitive fragility problem and the motivational problem.
