Abstract: | There is a growing recognition within resource-based theory that mergers and acquisitions (M&A) can play an important role in firm strategy as a means of transferring otherwise non-marketable resources and capabilities between firms. However, resource-based studies of M&A have yet to consider in detail the management challenges presented by the transfer of resources and capabilities through the market for corporate control. This is despite a considerable body of research on M&A that emphasizes the importance of decision-making and integration processes as a factor in M&A performance. This paper looks at three cases from the pharmaceutical industry and seeks to begin the development of a resource-based perspective on the management of M&A. |
