Abstract:The author argues that a pension scheme surplus makes a company attractive as a takeover bid target, for a surplus of pension scheme assets over pension scheme liabilities is similar to profit. The building-in of various safeguards is recommended prior to takeovers or mergers. The responsibility of trustees is emphasized, together with the stipulations of their appointment, removal and whether they can act by a majority decision, alongside the duty of the directors. Questions are also raised concerning what directors can do to secure the benefits, whether they are vested with the power of amendment, their personal interest, and the need for taking legal advice before adopting trigger clauses.
