Abstract:The recent recession and increased international competition have exposed serious flaws in the system by which companies around the world have been managed. Huge losses and writeoffs have focused public attention on corporate governance, particularly on the role of boards of directors. Decades of growth have papered over the cracks; the precipitous decline in asset value that characterized the early '90s left highly leveraged companies overextended, exposed, bloated bureaucracies and turned the spotlight on high costs, poor products and inadequate services.
