| Abstract: | The article discusses issues concerning the corporate governance and the business ethics in decision making situations. One of the challenging tasks of directors is to find balance between corporate social responsibility and shareholder value. The agency theory, the stakeholder theory and the stewardship theory are reviewed in order to obtain an ethical framework for corporate governance. |
