Abstract:The theories on enterprises after Coase can not completely explain the origin and nature of enterprises, while Marx's theory on enterprises can give a true, complete and inherent explanation on the origin and nature of enterprises because of its analytical framework that combines history and logic. But Marx emphasized the economization of produce expense about the origin of enterprises, he neglected that inside enterprises resources allocation by entrepreneurs also need the cost on organization, supervision and management. Like Coase, Marx also neglected entrepreneur's historical role in enterprises' system innovations. Based on Marx's analytical framework, combined with contract theory and some entrepreneurs' theories, this article establishes an inherent enterprise's theory whose purpose is to reexplain the origin and nature of enterprises.
