| Abstract: | The 1980s takeover boom fostered a rash of state laws that to a greater or lesser extent impede acquisitions of in-state companies. These laws tend to value rights of "enterprise-dependent nonshareholders" over those of shareholders. Whether your company is a potential acquirer or acquiree, management should become familiar with relevant state laws. When stockholders entrust their wealth to managers it is with the understanding that mechanisms exist to encourage superior performance. |
