Abstract:Firms are increasingly using anti-takeover methods for protection. But why do managers use these devices? Are they being used so that managers can pursue valuable long-term projects instead of focusing on the short-term? Are they used to increase bargaining power? Or are managers trying to insulate themselves from probing outside eyes and possibly even replacement? New evidence shows it is most likely the latter.
