Abstract:A review of the current SEC regulations concerning insider trading and the mechanism in place for their enforcement, joint stock and option positions that simulate the gains on a pure stock transaction, how for insiders pure stock transactions violate SEC regulations and are easily detected, and combined strategies that violate the spirit, but not the letter of the law, which go undetected. The authors question whether regulations should be more narrow and whether it is better to concentrate on disclosure needs or examine the wider range of insider transactions in many types of instruments.
