Abstract:Corporations who want to make their boards more effective need to reverse today's trend - make the board dominated by outsiders and make the chairperson an outsider as well. First, an overview is provided of both prescriptions for improving the effectiveness of corporate governance. In so doing, the board leadership issue is emphasized and the question of why the interaction between the board leadership and composition prescriptions has not been addressed. Second, a means is proposed of reframing governance issues by consideration of governance structures. Both the prescriptive, "ideal" structure and the dominant "real-life" structure are described and the governance implications of each are discussed.
