Abstract:Interlocking directorates in groups of companies lead to serious problems in day-to-day company life. Especially double board mandates, the cross-over model and the double connection model, deprive the individual companies in the group of much of their independence. Legal problems with intelocking directorates can in some respects only be avoided with questionable measures such as voting inter- dictions. In view of these disadvantages family companies, in which interlocking directorates are usually not found, can be regarded as the example to follow. They strictly separate leadership (executive board) from control (super- visory board) to make sure that an equilibrium of forces in the group of companies exists - as well as placing greater emphasis on shareholder/owner rights.
