Abstract: | This paper examines the corporate governance role of shareholder-initiated proxy proposals in European firms. Proposal submissions in Europe remain infrequent compared to the USA, particularly in the Continental Europe (here as: C.E.) In the C.E. proposals are focused on specific governance issues whereas in the United Kingdom (U.K.) the proposals typically relate to a proxy contest seeking board changes. There is some evidence of proposal sponsors being valuable monitors due to the target firms tending to underperform and having low leverage etc. |
