Abstract:The problem involved when foreign investors decide to try and involve themselves in the USA market are discussed. The dramatic growth of direct foreign investment in the USA is likely to continue with serious consideration given to the formation of a joint venture. Creation of a joint venture requires consideration of potential antitrust and tax issues as well as the preparation of a detailed agreement which expresses the intent of the parties and protects the respective interests of the participants. If an equity or corporate form is selected consideration must be given to federal and local law. Careful legal planning in the formation of the venture is a necessary prerequisite for successful and profitable business relationship.
