Abstract:Britain's decent bankers are being transformed into hustlers, as new trends from the US sweep across the corporate finance scene. US tactics for defending against, or forestalling a takeover bid include floating off a minority interest in an undervalued subsidiary, which then raises the stock market value of the parent company. Increasingly, the corporate finance business will be split between commodities, like rights issues, and high margin, value added products, leveraged buyouts or property-based transactions. In the US the major banking houses - all integrated - command 80 % of the corporate finance market. The other 20 % belongs to the second tier integrated and first tier non-integrated houses.
