Abstract:After briefly outlining the legal history of corporate vote-buying and the rationale for the courts' vigilance on this practice, in the United States (U.S.) and the United Kingdom (U.K.), this study outlines some strategic reasons for vote-buying, possibly making it a useful option in certain circumstances. Discussed are key principles for the board of directors to keep in mind when engaging in corporate vote-buying.
