Abstract:The design of the US Securities and Exchange Commission's rules assumes that more complete disclosure and a statement of explanation by the compensation committee will make corporate boards more carefully consider their compensation decisions. However, whether more complete disclosure enhances the board's accountability to shareholders remains an open question. This paper examines the effect of the SEC's new disclosure rules by comparing the relationship between pay-and-performance before and after the implementation of these rules.
