Abstract:The study outlines the need of synthetic "applied" professional theories of action which arises from the increasing involvement of laywers and economists in joint decision-making. After exploring into some causes of convergence of law and economics and describing legalism and economism as styles of social decision-making, the author looks for a meeting point of law and the new institutional economics. The pragmatic general theory of drafting is analysed. Having reviewed the premises and rudimentary phases of institutional design in the area of private ordering, the author examines the international trends of fusing facilities in the area of international transaction.
