| Abstract: | Now there are mainly three company-governing models, that is, clan supervision and control, internal and external supervision and control. China's present company-governing model is the model of share holders' sovereign rights under the government's intervention. It has such drawbacks as lack f internal mechanism of supervision and control, imperfect mode of external supervision and control and no proper incentive to the related interest subjects. In view of the above, China may develop a company-governing model stressing the internal supervision and control with an eye to the co-existence of many subjects of supervision and control, Change the principal agent relationship of state-owned assets and improve the internal supervision and control mechanism and market system as well. |
