Abstract:The paper argues that neither the economic "corporate control" hypothesis nor the behavioural science-based turnover theory are sufficient for understanding top management retention rates after acquisition. Consequently, an integrative structural model is developed serving as a starting point for a discussion of 12 major determinants of top management retention rates and of casual mechanisms linking these determinants. The new framework can support acquisition practitioners in diagnosing and managing takeover situations in order to minimize discrepancies between desired and observed top management retention rates following an acquisition.
