Abstract:This article assesses the characteristics of corporate boards associated with layoff decisions drawing upon examples from the UK. The findings show that companies are less likely to react to performance declines with employee layoffs when they have large boards. Also, layoff decisions are possitively connected with the proportion of outside directors and directors' remuneration. These findings imply of the great importance of the structure and composition of boards in the corporate governance process.
